Item 2.02. Results of Operations and Financial Condition
On February 28, 2013, The Gap, Inc. (the “Company”) issued a press release announcing the Company’s earnings for the fourth quarter and fiscal year ended February 2, 2013. A copy of this press release is attached hereto as Exhibit 99.1.

On February 28, 2013, the Company issued a press release announcing that it intends to increase its annual dividend per share for fiscal year 2013 from $0.50 to $0.60. A copy of this press release is attached hereto as Exhibit 99.2.
