Item 8.01  Other Events.
On May 23, 2018, Harris Corporation (“Harris”) issued notices for the optional redemption in full of all of the outstanding $400 million aggregate principal amount of its 4.40% notes due December 2020 (the “4.40% Notes”) and $400 million aggregate principal amount of its 5.55% notes due October 2021 (the “5.55% Notes” and, together with the 4.40% Notes, the “Notes”). The Notes will be redeemed on June 22, 2018 at a “make-whole” redemption price as set forth in the respective Notes. On and after the date of redemption, the Notes will no longer be deemed outstanding, interest on the Notes will cease to accrue, and all rights of the holders of the Notes will terminate, except for the right to receive the redemption payment upon surrender of the Notes. The notices of redemption specifying the terms, conditions and procedures for the respective redemptions are available through The Depository Trust Company and either The Bank of New York Mellon Trust Company, N.A., as paying agent for the 4.40% Notes, or MUFG Union Bank, N.A., as paying agent for the 5.55% Notes. The foregoing does not constitute a notice of redemption for the Notes.
