Other Events. |
On April 25, 2018, Twenty-First Century Fox, Inc. (the Company) issued a statement in response to the pre-conditional cash offer for the fully diluted share capital of Sky plc (Sky) by Comcast Corporation (Comcast) (the Comcast Offer). The Company remains committed to its pre-conditional cash offer announced on December 15, 2016 for the approximate 61% of the fully diluted share capital of Sky which the Company does not already own (the Acquisition) and is currently considering its options.
Following the announcement of the Comcast Offer, on April 25, 2018, the independent committee of the Sky Board of Directors (the Independent Committee) withdrew its recommendation that unaffiliated Sky shareholders vote in favor of the Acquisition and the Company received from Sky a written notice of termination of the Co-Operation Agreement, dated December 15, 2016, between the Company and Sky (the Co-Operation Agreement), pursuant to which the Company and Sky had agreed to certain matters in relation to the Acquisition. The Co-Operation Agreement provided for a £200 million break fee payable by the Company in the event that regulatory approvals required in connection with the Acquisition are not obtained prior to August 15, 2018, or in certain other circumstances described in the Co-Operation Agreement (the Break Fee). As a result of the termination of the Co-Operation Agreement, the Break Fee will not be payable by the Company in any circumstance. Certain provisions relating to the Companys conduct of the Acquisition survive the termination of the Co-Operation Agreement.
Notwithstanding the termination of the Co-Operation Agreement, Sky has stated that the Independent Committee intends to co-operate fully with the Company and Comcast to secure the relevant approvals in order to satisfy the pre-conditions for both offers.
