Item 8.01.          Other Events.

On January 8, 2009, Footstar, Inc. (the “Company”) issued the press release attached as Exhibit 99.1 announcing  the declaration of a $1.00 per common share cash distribution, payable on January 27, 2009 to holders of record at the close of business on January 20, 2009.  The payment of the distribution is contingent on receipt by the Company of amounts due from Kmart Corporation (“Kmart”) for certain inventory pursuant to the terms of the Master Agreement Amendment dated April 3, 2008, by and among the Company, Kmart, certain affiliates of Kmart and Sears Holdings Corporation.  The distribution could be delayed or rescheduled in the event that such payments are not timely received.
