(1) | Converted into the right to receive $0.33 in cash, without interest and less any applicable withholding tax, pursuant to Agreement and Plan of Merger ("merger agreement"), dated as of December 22, 2009, by and among the issuer, Alta Mesa holdings, LP and Alta Mesa Acquisition Sub, LLC. |
