On October 28, 2018, Red Hat, Inc., a Delaware corporation (the Company), and International Business Machines Corporation, a New York corporation (Parent), issued a joint press release announcing that on October 28, 2018, the Company entered into an Agreement and Plan of Merger with Parent. A copy of the joint press release is filed as Exhibit 99.1 hereto and is incorporated herein by reference.
