This Amendment No. 70 to Schedule 13D (this “Amendment”) relates to common shares, par value $0.01 per share (the “Holdings Common Stock”), of Sears Holdings Corporation, a Delaware corporation (“Holdings”). This Amendment amends the Schedule 13D, as previously amended, filed with the Securities and Exchange Commission by ESL Partners, L.P., a Delaware limited partnership (“Partners”), JPP II, LLC, a Delaware limited liability company (“JPP II”), SPE I Partners, LP, a Delaware limited partnership (“SPE I”), SPE Master I, LP, a Delaware limited partnership (“SPE Master I”), RBS Partners, L.P., a Delaware limited partnership (“RBS”), ESL Investments, Inc., a Delaware corporation (“ESL”), JPP, LLC, a Delaware limited liability company (“JPP”), and Edward S. Lampert, a United States citizen, by furnishing the information set forth below. Except as otherwise specified in this Amendment, all previous Items are unchanged. Capitalized terms used herein which are not defined herein have the meanings given to them in the Schedule 13D, as previously amended, filed with the Securities and Exchange Commission (“SEC”).

Item 2. Identity and Background.

Item 2(c) is hereby amended and restated in its entirety as follows:

“(c) The principal business of each of the Reporting Persons is purchasing, holding and selling securities and other financial instruments for investment purposes. Partners is the sole member of JPP II. RBS is the general partner of Partners, SPE I and SPE Master I. ESL is the general partner of RBS. Mr. Lampert is the sole member of JPP and the Chairman, Chief Executive Officer and Director of ESL. Mr. Lampert is also a limited partner of RBS. Mr. Lampert is also Chairman of the Board of Directors of Holdings. Each of the Reporting Persons may also serve as general partner or managing member of certain other entities engaged in the purchasing, holding and selling of securities for investment purposes.”

Item 3. Source and Amount of Funds or Other Consideration.

Item 3 is hereby amended and supplemented as follows:

“In a grant of shares of Holdings Common Stock by Holdings on September 28, 2018, pursuant to the Extension Letter between Holdings and Mr. Lampert, Mr. Lampert acquired an additional 159,574 shares of Holdings Common Stock. Mr. Lampert received the shares of Holdings Common Stock as consideration for serving as Chief Executive Officer, and no cash consideration was paid by Mr. Lampert in connection with the receipt of such shares of Holdings Common Stock.

On September 29, 2018, the Second Lien Borrowers elected to pay interest on the Second Lien Term Loan by increasing the principal amount of the Second Lien Term Loan. In connection with this election by the Second Lien Borrowers, the principal amount of the portion of the Second Lien Term Loan held by JPP and JPP II was increased accordingly, and no cash consideration was paid by either JPP or JPP II in connection with this increase to the principal amount of the Second Lien Term Loan. As a result of the foregoing, (i) JPP may acquire up to an additional 344,622 shares of Holdings Common Stock within 60 days upon the conversion of the Second Lien Term Loan into shares of Holdings Common Stock, and (ii) JPP II may acquire up to an additional 157,415 shares of Holdings Common Stock within 60 days upon the conversion of the Second Lien Term Loan into shares of Holdings Common Stock.

On October 15, 2018, Holdings elected to pay interest on the Senior Secured Convertible PIK Toggle Notes in-kind by increasing the principal amount of the Senior Secured Convertible PIK Toggle Notes. In connection with this election by Holdings to pay interest in-kind, the principal amount of the Senior Secured Convertible PIK Toggle Notes held by Partners and Mr. Lampert was increased accordingly, and no cash consideration was paid by either Partners or Mr. Lampert in connection with this increase to the principal amount of the Senior Secured Convertible PIK Toggle Notes. As a result of the foregoing, (i) Partners may acquire up to an additional 22,532 shares of Holdings Common Stock within 60 days upon the conversion of Senior Secured Convertible PIK Toggle Notes into shares of Holdings Common Stock, and (ii) Mr. Lampert may acquire up to an additional 114,358 shares of Holdings Common Stock within 60 days upon the conversion of Senior Secured Convertible PIK Toggle Notes into shares of Holdings Common Stock.”

Item 4. Purpose of Transaction.

Item 4 is hereby amended and supplemented as follows:

“On October 14, 2018, Mr. Lampert stepped down as Chief Executive Officer of Holdings. He will continue to serve as Chairman of the Board of Directors of Holdings.

On October 15, 2018, in connection with the commencement by Holdings and certain of its subsidiaries of voluntary petitions (the “Chapter 11 Cases”) in the United States Bankruptcy Court for the Southern District of New York (the “Bankruptcy Court”) seeking relief under Chapter 11 of Title 11 of the United States Code (the “Bankruptcy Code”), ESL and/or certain affiliates of ESL have indicated an interest in supporting the Chapter 11 Cases by providing a portion of the junior debtor in possession term loan (the “Junior DIP Financing”) subject to the proposed terms and conditions set forth in a term sheet (the “Junior DIP Term Sheet”) attached


to the Debtors’ Motion for Authority to (A) Obtain Postpetition Financing, (B) Use Cash Collateral, (C) Grant Certain Protections to Prepetition Secured Parties, and (D) Schedule Second Interim Hearing and Final Hearing filed with the Bankruptcy Court on October 15, 2018, and attached hereto as Exhibit 99.75 (the “DIP Motion”). The DIP Motion also references the agreement by certain prepetition first lien lenders to provide a senior secured superpriority priming debtor in possession asset-based credit facility of up to $1.83 billion (the “DIP ABL Facility”).

The proposed borrowers under the Junior DIP Financing are Sears Roebuck Acceptance Corp., a Delaware corporation (“SRAC”), and Kmart Corporation, a Michigan corporation (“Kmart” and, collectively with SRAC, the “Junior DIP Borrowers”). The proposed lenders under the Junior DIP Financing include JPP and/or JPP II, and certain funds or accounts managed by Cyrus Capital Partners, LP. Prior to the entry of a final order by the Bankruptcy Court with respect to the Junior DIP Facility, the Junior DIP Borrowers may also market the Junior DIP Facility to other financial institutions. The proposed aggregate principal amount of the Junior DIP Financing is $200 million, which amount may be upsized at the sole discretion of ESL or its affiliate in its capacity as DIP Agent up to $300 million upon the receipt of additional lender commitments. The Junior DIP Financing is proposed to be secured by a junior lien on encumbered collateral (including collateral pledged in connection with the DIP ABL Facility), a pari passu senior lien on certain previously unencumbered assets (in particular, the rights, title and interest of the borrowers in three leases and one cause of action), and a junior lien on other previously unencumbered assets. The proposed maturity date of the Junior DIP Financing is the earlier of (i) 8 months after the filing date of the Chapter 11 Cases, (ii) the maturity date under DIP ABL Facility, (iii) the effective date of the Chapter 11 plan with regard to the Chapter 11 Cases, (iv) the date on which a sale of all or substantially all of the collateral pledged in connection with the Junior DIP Financing is consummated pursuant to a sale under section 363 of the Bankruptcy Code or otherwise and (v) the date the Junior DIP Facility is accelerated upon an event of default (as described in the Junior DIP Term Sheet) or otherwise. Additionally, the maturity date of the Junior DIP Financing may be extended for an additional 4 months at the request of the borrowers (with the consent of the agent under the Junior DIP Financing and upon the satisfaction of certain other conditions).

The Junior DIP Facility is subject to the approval of the Bankruptcy Court. The proceeds of loans extended under the Junior DIP Facility will be used for purposes permitted by orders of the Bankruptcy Court, including (i) for working capital, (ii) for general corporate purposes and (iii) to pay certain restructuring expenses, professional fees and other obligations and expenses incurred in connection with the Junior DIP Facility, the Chapter 11 Cases and the transactions contemplated thereunder.

As described further in the DIP Motion, the debtors under the Chapter 11 Cases will also pursue a going-concern sale of a group of stores identified in the debtors’ plan for the Chapter 11 Cases (the “Going Concern Sale”) and may also pursue an auction for the sale of certain other assets of the debtors (“Asset Sales”). ESL or its affiliates are currently evaluating and may choose to participate in the auction processes with regard to the Going Concern Sale or any potential Asset Sales.

The foregoing transactions may relate to, or could result in, some or all of the matters referred to in subparagraphs (a)-(j) of Item 4 of Schedule 13D.

The foregoing descriptions of the Junior DIP Financing and the DIP Motion do not purport to be complete and are qualified in their entirety by reference to the Junior DIP Term Sheet and the DIP Motion.

The commencement of the Chapter 11 Cases constitutes an event of default that accelerated the obligations under certain debt instruments of Holdings (the “Debt Instruments”). ESL and/or an affiliate thereof is a party to the following Debt Instruments:

 

   

Letter of Credit and Reimbursement Agreement, dated as of December 28, 2016 (as amended, supplemented or otherwise modified from time to time), among Holdings, SRAC, and Kmart, the financial institutions party thereto from time to time as L/C Lenders, and Citibank N.A., as Administrative Agent and Issuing Bank, related to $271.1 million outstanding aggregate principal amount of letters of credit;

 

   

Second Lien Credit Agreement, dated as of September 1, 2016 (as amended, supplemented, or otherwise modified from time to time), between Holdings, SRAC and Kmart, the lenders party thereto, and JPP as administrative agent and collateral administrator, related to $887.1 million outstanding aggregate principal amount of term loans, line of credit loans and alternative tranche line of credit loans;

 

   

Mezzanine Loan Agreement, dated as of March 14, 2018 (as amended, supplemented, or otherwise modified from time to time), among SRC Sparrow 2 LLC, as borrower, JPP and JPP II as lenders, and JPP, as administrative agent, related to $513.2 million outstanding aggregate principal amount of term loans;

 

   

Indenture, dated as of March 20, 2018 (as amended, supplemented, or otherwise modified from time to time), by and among Holdings, the guarantors party thereto and Computershare Trust Company, N.A., governing the 6 5/8% Senior Secured Convertible PIK Toggle Notes which mature on October 15, 2019, of which $175.4 million aggregate principal amount are outstanding;


   

Second Supplemental Indenture, dated as of March 20, 2018 (as amended, supplemented, or otherwise modified from time to time), by and between Holdings and Computershare Trust Company, N.A., as Trustee, governing the 8% Senior Unsecured Notes Convertible PIK Notes which mature on December 15, 2019, of which $222.6 million aggregate principal amount are outstanding;

 

   

Third Amended and Restated Loan Agreement, dated as of June 4, 2018 (as amended, supplemented, or otherwise modified from time to time), among Holdings, as guarantor, the subsidiaries of Holdings party thereto as borrowers, JPP, as Agent, and the lenders party thereto, related to $831.4 million outstanding aggregate principal amount of term loans; and

 

   

Term Loan Credit Agreement, dated as of January 4, 2018 (as amended, supplemented, or otherwise modified from time to time), among Holdings, SRAC and Kmart, as borrowers, the subsidiaries of Holdings party thereto, the lenders party thereto from time to time, and JPP as administrative and collateral agent, related to $231.2 million outstanding aggregate principal amount of term loans.

Any efforts to enforce payment obligations under these Debt Instruments were automatically stayed as a result of the filing of the Chapter 11 Cases and the holders’ rights of enforcement in respect of the Debt Instruments are subject to the applicable provisions of the Bankruptcy Code.”

Holdings’ obligations with respect to the Second Lien Term Loan may be converted into shares of Holdings Common Stock at the option of an eligible holder at a conversion rate of 200 shares of Holdings Common Stock per $1,000 in principal amount of indebtedness outstanding under the Second Lien Term Loan (subject to adjustment).

Holdings elected to pay interest on the Second Lien Term Loan in-kind by increasing the principal amount of the Second Lien Term Loan held by such reporting person.

Represents the number of shares of Holdings Common Stock that may be acquired within 60 days upon the conversion of 6 5/8% Senior Secured Convertible PIK Toggle Notes into shares of Holdings Common Stock. The 6 5/8% Senior Secured Convertible PIK Toggle Notes are convertible at the option of an eligible holder into shares of Holdings Common Stock at the conversion price of 200 shares of Holdings Common Stock per $1,000 in principal amount of such notes, or $5.00 per share of Holdings Common Stock.
