This Amendment amends the Schedule 13D, as previously amended, filed with the Securities and Exchange Commission by ESL Partners, L.P., a Delaware limited partnership (“Partners”), JPP II, LLC, a Delaware limited liability company (“JPP II”), SPE I Partners, LP, a Delaware limited partnership (“SPE I”), SPE Master I, LP, a Delaware limited partnership (“SPE Master I”), RBS Partners, L.P., a Delaware limited partnership (“RBS”), ESL Investments, Inc., a Delaware corporation (“ESL”), JPP, LLC, a Delaware limited liability company (“JPP”), and Edward S. Lampert, a United States citizen, by furnishing the information set forth below. Except as otherwise specified in this Amendment, all previous Items are unchanged. Capitalized terms used herein which are not defined herein have the meanings given to them in the Schedule 13D, as previously amended, filed with the Securities and Exchange Commission (“SEC”).

 

Item 3. Source and Amount of Funds or Other Consideration.

Item 3 is hereby amended and supplemented as follows:

“On June 15, 2018, Holdings elected to pay interest on the Senior Unsecured Convertible PIK Toggle Notes in-kind by increasing the principal amount of the Senior Unsecured Convertible PIK Toggle Notes. In connection with this election by Holdings to pay interest in-kind, the principal amount of the Senior Unsecured Convertible PIK Toggle Notes held by Partners and Mr. Lampert was increased accordingly, and no cash consideration was paid by either Partners or Mr. Lampert in connection with this increase to the principal amount of the Senior Unsecured Convertible PIK Toggle Notes. As a result of the foregoing, (i) Partners may acquire up to an additional 249,247 shares of Holdings Common Stock within 60 days upon the conversion of Senior Unsecured Convertible PIK Toggle Notes into shares of Holdings Common Stock, and (ii) Mr. Lampert may acquire up to an additional 651,439 shares of Holdings Common Stock within 60 days upon the conversion of Senior Unsecured Convertible PIK Toggle Notes into shares of Holdings Common Stock.

On June 29, 2018, the Second Lien Borrowers elected to pay interest on the Second Lien Term Loan by increasing the principal amount of the Second Lien Term Loan. In connection with this election by the Second Lien Borrowers, the principal amount of the portion of the Second Lien Term Loan held by JPP and JPP II was increased accordingly, and no cash consideration was paid by either JPP or JPP II in connection with this increase to the principal amount of the Second Lien Term Loan. As a result of the foregoing, (i) JPP may acquire up to an additional 333,111 shares of Holdings Common Stock within 60 days upon the conversion of the Second Lien Term Loan into shares of Holdings Common Stock, and (ii) JPP II may acquire up to an additional 152,158 shares of Holdings Common Stock within 60 days upon the conversion of the Second Lien Term Loan into shares of Holdings Common Stock.

In a grant of shares of Holdings Common Stock by Holdings on June 29, 2018, pursuant to the Extension Letter between Holdings and Mr. Lampert, Mr. Lampert acquired an additional 159,575 shares of Holdings Common Stock. Mr. Lampert received the shares of Holdings Common Stock as consideration for serving as Chief Executive Officer, and no cash consideration was paid by Mr. Lampert in connection with the receipt of such shares of Holdings Common Stock.”

 

Item 4. Purpose of Transaction.

Item 4 is hereby amended and supplemented as follows:

“On June 29, 2018, the Mezzanine Loan Borrower, the Mezzanine Loan Lenders and JPP, as administrative agent, entered into a Fifth Amendment (the “Fifth Mezzanine Loan Amendment”) to the Mezzanine Loan Agreement. The Mezzanine Loan Agreement contains an uncommitted accordion feature pursuant to which the Mezzanine Loan Borrower may incur Additional Mezzanine Loans, subject to certain conditions set forth in the Mezzanine Loan Agreement and the 2018 Credit Agreement. The Fifth Mezzanine Loan Amendment increased the loan-to-value cap applicable to the aggregate principal amount of the Mezzanine Loans that may be incurred under the Mezzanine Loan Agreement, together with the principal amount of a loan that none of the Reporting Persons is a party to, from 55% to 69%. No upfront or other fees were paid by the Mezzanine Loan Borrower in connection with the Mezzanine Loan Amendment.


In connection with the entry into the Fifth Mezzanine Loan Amendment, certain of the Mezzanine Loan Lenders made an additional advance to the Mezzanine Loan Borrower in the aggregate amount of $50.0 million, which amount was secured by the Mezzanine Loan Collateral. As of June 29, 2018, after giving effect to such borrowings, the aggregate principal amount of the Mezzanine Loans outstanding under the Mezzanine Loan Agreement was approximately $438.2 million.

The foregoing description of the Fifth Mezzanine Loan Amendment does not purport to be complete and is qualified in its entirety by reference to the Fifth Mezzanine Loan Amendment, filed as Exhibit 99.69 hereto and incorporated by reference herein.

On July 5, 2018, Holdings and the other parties thereto entered into that certain Fifth Amendment (the “Fifth Second Lien Amendment”) to the Amended Second Lien Credit Agreement, among the Second Lien Borrowers, the lenders party thereto, and JPP, as administrative agent and collateral administrator. The Fifth Second Lien Amendment provides for the incurrence by Holdings of approximately $45 million of alternative tranche line of credit loans (the “New Second Lien Term Loans”) in exchange for a like principal amount of Holdings’ outstanding 2018 Notes (the “Old 2018 Notes”), which Old 2018 Notes were cancelled.

The New Second Lien Term Loans mature on October 15, 2018, which was the same maturity date of the Old 2018 Notes. Amounts outstanding under the New Second Lien Term Loans may be prepaid at any time, subject to a make-whole prepayment premium.

The New Second Lien Term Loans bear interest at a rate equal to 6 5/8% per annum, which was the same rate as the Old 2018 Notes. Interest on the New Second Lien Term Loans is payable from April 15, 2018 on the maturity date of the New Second Lien Term Loans.

The New Second Lien Term Loans otherwise generally have similar terms to the existing Second Lien Term Loans under the Amended Second Lien Credit Agreement; provided that the lenders under the New Second Lien Term Loans benefit from certain additional covenants. The New Second Lien Term Loans are guaranteed by Sears Roebuck Acceptance Corp., Kmart Corporation and the other subsidiaries of Holdings that guarantee the existing loans under the Amended Second Lien Credit Agreement and are secured by the same assets of Holdings and its subsidiaries that secure the existing Second Lien Term Loans under the Amended Second Lien Credit Agreement.
