Item 1.01 Entry into a Material Definitive Agreement

On November 20, 2017, Express Scripts Holding Company (the “Company”) and Express Scripts, Inc. and Medco Health Solutions, Inc., as guarantors, entered into an Underwriting Agreement (the “Underwriting Agreement”) with Merrill Lynch, Pierce, Fenner & Smith Incorporated, Citigroup Global Markets Inc., and Mizuho Securities USA LLC, as representatives of the several underwriters listed on Schedule A thereto, relating to the sale by the Company of the Company’s 2.600% Senior Notes due 2020, the Company’s Floating Rate Senior Notes due 2020 and the Company’s 3.050% Senior Notes due 2022 (collectively, the “Notes”).

Some of the underwriters and their affiliates have, from time to time, performed, and may in the future perform, various financial advisory and investment banking services for the Company and its affiliates, for which they have received or will receive compensation. An affiliate of the trustee acted as an underwriter in connection with the issuance of the Notes.

The Underwriting Agreement is filed herewith as Exhibit 1.1. The description of the Underwriting Agreement is qualified by reference thereto.
