(1) Pursuant to Rule 416(a) under the Securities Act of 1933, as amended (the “Securities Act”), this Registration Statement on Form S-8 also covers any additional shares of WPX Energy, Inc. Common Stock in respect of the securities identified in the above table as a result of any stock dividend, stock split, recapitalization or other similar transaction. The securities to be registered include options and rights to acquire Common Stock.
(2) Estimated solely for the purpose of calculating the registration fee. This registration fee has been calculated pursuant to Rule 457(c) and 457(h)(1) of the Securities Act based upon the average of the high and low prices of WPX Energy, Inc. Common Stock on May 15, 2013, as reported by the New York Stock Exchange.
(3) 5,648,211 of the 15,467,118 shares being registered under the WPX Energy, Inc. 2013 Incentive Plan represent shares previously registered by WPX Energy, Inc. (the “Registrant”) under the WPX Energy, Inc. 2011 Incentive Plan on Form S-8, registration statement no. 333-178388, filed on December 9, 2011 for which the Registrant paid a filing fee of $19,703 (the “Prior Registration Statement”). The Registrant has filed a post-effective amendment to deregister such shares from the Prior Registration Statement filed with respect to the predecessor plan, and accordingly, the associated registration fee previously paid on these shares under the Prior Registration Statement is being carried forward to offset the registration fee under this registration statement. The entire filing fee for the Prior Registration Statement was offset with the filing fee previously paid for registration statement no. 333-173808 on Form S-1 filed on April 29, 2011, which was withdrawn prior to becoming effective. As a result, the $38,123 registration fee that would be due on a proposed maximum aggregate offering price of $279,490,822 has been reduced by $19,703 to $18,419.

Our amended and restated certificate of incorporation provides that a director will not be liable to the corporation or its stockholders for monetary damages for breach of fiduciary duty as a director to the fullest extent that the Delaware General Corporation Law (“DGCL”) or any other law of the State of Delaware permits. If the DGCL or any other law of the State of Delaware is amended to authorize the further elimination or limitation of the liability of directors, then the liability of a director will be limited to the fullest extent permitted by the amended DGCL or other law, as applicable.

We are empowered by Section 145 of the DGCL, subject to the procedures and limitations stated therein, to indemnify any person against expenses (including attorneys’ fees), judgments, fines, and amounts paid in settlement actually and reasonably incurred by them in connection with any threatened, pending, or completed action, suit, or proceeding in which such person is made party by reason of their being or having been a director, officer, employee, or agent of the Company. The statute provides that indemnification pursuant to its provisions is not exclusive of other rights of indemnification to which a person may be entitled under any bylaw, agreement, vote of stockholders or disinterested directors, or otherwise. Our bylaws provide for indemnification by us of our directors and officers to the fullest extent permitted by the DGCL.


The Company maintains, policies of insurance under which our directors and officers are insured, within the limits and subject to the limitations of the policies, against certain expenses in connection with the defense of actions, suits, or proceedings, and certain liabilities which might be imposed as a result of such actions, suits or proceedings, to which they are parties by reason of being or having been such directors or officers.
