Explanatory Note
On May 10, 2011, Apollo Commercial Real Estate Finance, Inc. (the Company) filed a Current Report on Form 8-K (the Original Form 8-K) related to, among other things, the results of the Companys 2011 Annual Meeting of Stockholders (the Annual Meeting) held on May 4, 2011. This Form 8-K/A is being filed solely to supplement the disclosures made under Item 5.07 of the Original Form 8-K to disclose the decision of the Board of Directors of the Company (the Board of Directors) with respect to the frequency of future stockholder advisory votes on the compensation of the Companys named executive officers.
Item 5.07 Submission of Matters to a Vote of Security Holders
As previously reported in the Original Form 8-K, the fourth proposal on which the Companys stockholders voted at the Annual Meeting was whether a stockholder advisory vote on the compensation of the Companys named executive officers should be held every one, two or three years. The results of the voting are as shown below:

In light of the stockholders recommendation that the advisory vote be held annually, as well as other factors, the Board of Directors has decided that the Company will hold an annual stockholder advisory vote with respect to the compensation of the Companys named executive officers.
