(e) In response to feedback provided by ISS Proxy Advisory Services and to affirm the Companys commitment to pay-for-performance and transparency in executive compensation practices, on May 24, 2011, the Company amended the existing employment agreements with each of its executive officers, James L. Francis, Douglas W. Vicari, D. Rick Adams and Graham J. Wootten. The amendments remove from each executives employment agreement a provision that would have required the Company to make gross-up payments to the executive in amounts equal to any excise taxes incurred by the executive pursuant to Section 4999 of the Internal Revenue Code as a result of his receipt of payments upon termination following a change in control.
