(1) Pursuant to Rule 416(a) under the Securities Act of 1933, as amended (the “Securities Act”), this Registration Statement includes an indeterminate number of additional shares which may be offered and issued to prevent dilution from stock splits, stock dividends or similar transactions as provided in the above-referenced plan.
(2) These shares are offered under the 2006 Share Incentive Plan. Pursuant to Rule 457(h), the maximum aggregate offering price is calculated as the sum of (i) 4,838,359 common shares issuable upon the exercise of outstanding options as of February 19, 2008 multiplied by the weighted average exercise price of $3.78 per share, which is equal to an aggregate offering price of $18,301,916; and (ii) the product of the remaining 1,413,891 shares reserved under the plan multiplied by the average of the high and low prices for the Registrant’s American Depositary Shares, or ADSs, as quoted on the Nasdaq Global Market on February 19, 2008, or $9.00, which is equal to an aggregate offering price of $12,717,950.
(3) These shares may be represented by the Registrant’s American Depositary Shares, each of which represents one common share.
