Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

 

On May 12, 2005, at a regularly-scheduled meeting of the Board of Directors of Electronic Arts Inc. (the “Company”), William J. Byron, age 72, declared his intention to retire. Mr. Byron has served as a Director of the Company since 1989 and his retirement will become effective at the Company’s 2005 Annual Meeting of Stockholders, which is scheduled for July 28, 2005.
