Item 1.01. Entry into a Material Definitive Agreement

 

On January 4, 2005, Photronics, Inc. and Edwin L. Lewis entered into a three year employment agreement for the position of Vice President, General Counsel and Secretary dated January 4, 2005 (the “Employment Agreement”) with certain severance payments if terminated involuntarily. The Employment Agreement will be attached as Exhibit 10.22 to Photronics’ 2004 10-K and further description will be provided in the Proxy Statement.
