Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
Summerfield K. Johnston, Jr., a director of the Company, has advised us that he intends to resign from our board of directors, effective December 12, 2004. His notice came in a letter dated November 22, 2004 and received November 24, 2004.
The boards governance and nominating committee will consider a replacement director to fill the balance of Mr. Johnstons term, which expires at the 2005 annual meeting of shareowners.
