The registrant is unable to timely file its Annual Report on Form 10-K for the fiscal year ended June 30, 2003 (the “Form 10-K”) without unreasonable effort or expense because of the registrant’s incorporation into the Form 10-K of certain events which occurred subsequent to June 30, 2003, for which the registrant and its independent accountants have been working diligently to ensure that appropriate disclosures have been made. It is anticipated that the form 10-K will be filed well before the required 15th calendar day following the prescribed due date of the Form 10-K.
