Annual Meeting of Stockholders will be held on May 9, 2018 at The Hassayampa Inn, 122 East Gurley Street, Prescott, AZ 86301, at 9:00 a.m. MST. Proposals to be voted on at the meeting are listed below along with the Board of Directors’ recommendations. The Board of Directors unanimously recommends a vote FOR the election of nine Directors, FOR proposals 2 and 3, and AGAINST proposal 4. 1. Election of Directors. John A. Cosentino, Jr. Michael O.
