Item 8.01     Other Events.

          On July 1, 2008, Willis Group Holdings Limited (the “Company”) announced that the U.S. Federal Trade Commission granted early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act, as amended, relating to the Company’s pending acquisition of Hilb Rogal & Hobbs Company. A copy of the press release issued by the Company on July 2, 2008 is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
