ITEM 2.02 RESULTS OF OPERATIONS AND FINANCIAL CONDITION
On February 16, 2005, Edgewater Technology, Inc. (the "Company") reported
its results of operations for its fourth quarter and year ended December 31,
2004. A copy of the press release issued by the Company concerning the foregoing
results is furnished herewith as Exhibit 99.1 and is incorporated herein by
reference in its entirety.
