The delay in filing Castle Brands Inc.'s  (the "Company") Quarterly Report on Form 10-Q for the period ended September 30, 2012  is due to the Company's temporary inability to access its New York City corporate headquarters and accounting records due to the impact of Hurricane Sandy.  In accordance with the guidance issued by the United States Securities and Exchange Commission ("SEC") on November 5, 2012, the Company intends to file its Form 10-Q for the period ended September 30, 2012 on or prior to the anticipated extended deadline of November 21, 2012 (or such other deadline as provided for based on further SEC guidance).
