Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective October 31, 2008, Legend Media, Inc. (the "Company") and William Lee terminated Mr. Lee's relationship as the Chief Operating Officer of the Company.

Additionally, on November 17, 2008, Richard Vogel resigned from the board of directors of the Company.
