Item 2.02    Results of Operations and Financial Condition.

On March 14, 2006 iCAD, Inc. (the “Company”) issued a press release announcing its preliminary unaudited financial results for the fiscal quarter and year ended December 31, 2005. A copy of the Company’s press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
