Section 5 - Corporate Governance and Management

Item 5.02. Departure of Directors or Principal Officers, Election of Directors; Appointment of Principal Officers.

On August 4, 2005, Donald F. Farley resigned from the Board of Directors of Nuvim, Inc., effective immediately. The Board will begin a search for a replacement for Mr. Farley. Mr. Farley has served on the Company’s Board since inception, and his resignation was unrelated to the Company’s operations, policies or practices.
