On November 11, 2009, the Boards of Directors of the Registrant and Employers Mutual Casualty Company, the parent company of the Registrant, approved the Employers Mutual Casualty Company Defined Contribution Supplemental Executive Retirement Plan (referred to as “SRP II”) effective November 11, 2009.  This plan establishes a nonqualified retirement benefit for a select group of designated officers that is intended to help attract and retain key executives by providing a retirement income replacement ratio (projected retirement income compared to projected base salary and short-term bonus income at normal retirement date) that is comparable to benchmark data provided by Hay Group.
