Item 1.01

Entry into a Material Definitive Agreement.

On July 5, 2006, Strategic Hotels & Resorts, Inc. (the “Company”) announced that SHR Scottsdale, L.L.C., a wholly-owned subsidiary of Strategic Hotel Funding, L.L.C., the operating company of the Company, entered into a Purchase and Sale Agreement (the “Agreement”) with Scottsdale Princess Partnership, an affiliate of Fairmont Raffles Holdings International (the “Seller”), dated as of June 30, 2006, to acquire from the Seller the Fairmont Scottsdale Princess hotel for a purchase price of $345.0 million and an adjacent 10-acre development parcel for $15.0 million (the “Transaction”). The Transaction, which is expected to close in the third quarter of 2006, remains subject to contractual closing conditions as well as an existing right of first refusal between the Seller and a third party.

The foregoing description of the Transaction is qualified in its entirety by reference to the Agreement, which will be attached as an exhibit to the Company's Quarterly Report on Form 10-Q for the period ended June 30, 2006 which the Company intends to file in August 2006.
