Pallet Management Systems, Inc., a Florida corporation (the
"Registrant"), is not, without unreasonable effort or expense, able to complete
its Form 10-K for the fiscal year ended June 30, 2001, by the close of business
on September 28, 2001. Because of management's time commitment to the
Registrant's business, completion of the normal process in connection with the
audit of the Registrant's annual financial statements cannot be achieved before
the filing deadline.

Explanation for Item 3, Part IV -- The Registrant currently expects to report an
estimated net income of approximately $303,000 or $.08 per basic share for the
fiscal year ended June 30, 2001, compared to a net loss of approximately
($2,250,000) or ($0.57) per basic share for the fiscal year period ended June
24, 2000. The increase in net income is primarily the result of (i) an increase
in net sales, coupled with a decrease in the cost of sales as a percentage of
net sales and (ii) a decrease in selling, general and administrative expenses.
