Item 5.03.      Amendment to Articles of Incorporation or Bylaws; Change in Fiscal Year.

 

On December 3, 2008, the Board of Directors of Whitney Information Network, Inc. (the “Company”) adopted an amendment to Article VI of its Bylaws.  The amendment adds Section 10 to Article VI, which provides that the indemnification provisions of the Bylaws shall be deemed a contract betweeen the Company and each Director and Officer and as such, any repeal or modification of such provisions shall not affect any rights or obligations of such parties.  A copy of the amended Bylaw provision is filed as Exhibit 3.1 to this Current Report on Form 8-K and is incorporated herein by this reference.
