On May 11, 2007, Occidental Petroleum Corporation issued a press release announcing (i) its sale of 6,990,070 shares of the common stock of Lyondell Chemical Company in a private transaction that settled on Wednesday, May 9, 2007, as well as (ii) its intention to dispose of its remaining interest in the common stock of Lyondell Chemical Company.  The press release is attached as Exhibit 99.1 to this report and is incorporated herein by reference.
