Section 1 – Registrant’s Business and Operations
Item 1.01 Entry into a Material Definitive Agreement.
On August 2, 2005, NAVTEQ Corporation (the “Company”) entered into an Addendum (the “Addendum”) to BMW Group International Terms and Conditions for the Purchase of Production Materials and Automotive Components (the “Terms and Conditions”) with BMW of North America (“BMW”). The Addendum adds to the Terms and Conditions minimum initial and additional order quantities of new map data discs per-purchase order and order and fulfillment deadlines for BMW and the Company, respectively. In addition, the Addendum adds return deadlines and policies for obsolete map data discs and terms regarding the minimum components, artwork, compilation and intellectual property of the map data discs.
