Item 1.01 Entry into a Material Definitive Agreement

 
On March 24, 2005, Puget Sound Energy amended and restated its $350 million Credit Agreement. The amended and restated credit agreement provides for borrowings of up to $500 million and extends the expiration date from June 15, 2007 to April 2, 2010.
