On January 3, 2005, the Company issued a press release announcing
that its subsidiary, Tompkins Insurance Agencies, Inc., acquired Banfield &
Associates, Inc., a full service insurance agency located in Ithaca, New York,
effective December 31, 2004. A copy of the press release is attached to this
Report on Form 8-K as Exhibit 99.1 and is incorporated herein by reference.
